GENERAL TERMS AND CONDITIONS OF SALE. This agreement sets forth general terms and conditions of sale. If there is an unacceptable or unforeseen decrease or increase in costs between the conclusion of the contract and the Seller's fulfil lment of the order (such as a change in the price of materials), the Seller has the right to adjust the prices to reflect the new situation without invoicing any additional profit margin. If the agreed - upon price rise reaches 10%, the Buyer has the option to cancel the contract (termination or rescission).

Unless otherwise indicated in writing, all bills issued by the Seller must be paid in full right away, with no deductions. Late payment interest and compensation (at least equivalent to 15% of the unpaid sums) are owed if payments are not made by the due date.

Any agreements concerning delivery durations and dates must be established in writing. Unless otherwise stated, delivery dates and times are not guaranteed. The delivery time begins when the Seller s ends the order confirmation and ends only after all paperwork, authorizations, and validations have been fully sent.

The buyer must get answers to all queries and the receipt of the agreed - upon advance payment. The Buyer's other duties must be completed in a timely and organized manner to meet the delivery date or timeframe. When the items leave the manufacturer before the delivery time ends, or when the Seller informs the Buyer that the products are ready for dispatch, the delivery term is assumed to have been met. The Seller's suppliers must supply to the Seller in a timely and orderly manner to meet the specified delivery dates and periods.

We may make partial deliveries. The Seller retains the right to make excess or short deliveries of up to 5% of the n umber of items requested if necessary due to manufacturing technical reasons. Any shortfalls will not be reimbursed. In the case of a delivery delay, the Buyer may only terminate the contract after serving notice on the Seller and providing the Seller a fi nal delivery deadline. The Seller is not responsible to the Buyer for any indirect damages, including, but not limited to, lost profits, lost time, lost expected savings, data loss, inappropriate data usage, and all other fees and expenditures.

The items d elivered are meant to remain in the Buyer's chosen delivery country. The Buyer is responsible for becoming aware of any applicable export and/or import laws or limitations and obtaining any appropriate permissions.

The court of the Seller's registered off ice has jurisdiction over any issues originating from the Seller - Buyer business relationship. The Seller also has the right to sue the Buyer in their registered office or any other competent court.
